Michael Tung Tat Chiu

Michael Tung was admitted as a solicitor of the High Court of Hong Kong SAR in June 1990 and the Supreme Court of England and Wales in September 1991 respectively. Mr. Tung was also appointed as a China-Appointed Attesting Officer in July 2012.

After being admitted as a solicitor of the High Court of Hong Kong SAR, Mr. Tung joined one of the largest local law firms in Hong Kong, Woo, Kwan, Lee & Lo. Mr. Tung became a partner in Woo, Kwan, Lee & Lo in 1997. Thereafter, Mr. Tung left Woo, Kwan, Lee & Lo in 2003 for individual developments.

Mr. Tung has over 30 years of experience in corporate finance and commercial legal practices and been persistently involved in the securities and commercial matters in Hong Kong for PRC stated-owned enterprises, PRC private enterprises and red-chips companies. His areas of practice mainly cover initial public offerings in Hong Kong, mergers and acquisitions, equity and debt securities issues and compliance with the Hong Kong listing rules and codes on takeovers and mergers and other regulatory matters. Mr. Tung is also experienced in other general commercial practices including advice on Hong Kong companies and securities law and various commercial contracts.

Mr. Tung has acted for numerous PRC state-owned enterprises, PRC private enterprises and red-chips companies in various corporate finance and commercial matters. From as early as 1991, Mr. Tung has started to assist a number of PRC state-owned enterprises in their initial public offerings in Hong Kong and has acted as their legal adviser. Mr. Tung was involved in the listing of a number of H shares PRC stated-owned enterprises including Yizheng Chemical Fibre Company Limited, Qingling Motors Company Limited, Jiangxi Copper Company Limited, Beijing North Star Company Limited, Beijing Capital International Airport Company Limited and Guangdong Nan Yue Logistics Company Limited; private enterprise including Zhejiang Yonglong Enterprises Limited; and red-chips companies including China Travel International Investment Hong Kong Limited and Shanghai Industrial Holdings Limited.

Mr. Tung maintains good relationships with numerous PRC state-owned enterprises and red-chips companies. His relationships with Jiangxi Copper Company Limited, Qingling Motors Company Limited, Silver Grant International Industries Limited, Shanghai Industrial Holdings Limited and some other state-owned enterprises.

During these years, Mr. Tung has advised on international transactions.

In respect of social responsibility, Mr. Tung is currently the company secretary of numerous listed companies in Hong Kong. He is the company secretary of Jiangxi Copper Company Limited, Qingling Motors Company Limited, Harbin Electric Company Limited, Quantum Thinking Limited and NOVA Group Holdings Limited.

Moreover, Mr. Tung is the honorable legal adviser of Green Pastures Whole Person Development Centre, a social services centre established in Hong Kong.

In respect of awards, a transaction of Silver Grant International Industries Limited relating to the acquisition of RMB56.9 billion distressed assets handled by Mr. Tung in 2005 was awarded the best transaction of distressed assets by International Financial Law Review, an international law magazine. In 2014, one of our IPO transactions, namely Termbray Petro-king Oilfield Services’ Hong Kong IPO, was awarded as one of China Business Law Journal’s Deals of the year for 2013. China Business Law Journal is a bilingual monthly magazine, which is designed to provide practical insight into the legal market for China focused business and legal practitioners.

To assist those PRC enterprises listed in Hong Kong to acquire more information about the securities rules and regulations and to match with the international standard, Mr. Tung took part in the Fifth Directors and Company Secretaries Training for PRC Listed Enterprises held jointly by Hong Kong Exchanges and Clearing Limited, Hong Kong and Macao Affairs Office and Hong Kong Institute of Secretaries in 2001. Mr. Tung also gave a presentation on “Hong Kong Listing Rules and Regulations”.

In these years, Mr. Tung has actively devoted himself to enhancing the development of PRC state-owned enterprises and red-chips companies in both Hong Kong and PRC. He is also continually providing assistance and services for those enterprises.
