Our Commercial Practice is the main foundation of the firm.

1. IPOs and international offerings

Our lawyers have accumulated considerable experience in a wide range of offerings, including listings on the Hong Kong and London Stock Exchanges and the structuring of mainland enterprises in preparation for listings and investments outside Mainland China.

Apart from representing listing candidates, our lawyers also represent sponsors and underwriters in offerings on the Stock Exchange of Hong Kong.

2. Post listing compliance

The securities rules and regulations in Hong Kong are complex. Transactions carried out by listed companies require timely disclosure and where appropriate, shareholders approval. Directors are also obliged to act in the best interests of the shareholders and to avoid conflict of interests. Non-compliance of these rules and regulations should be avoided.

We are able to assist listed clients and their management to comply with these rules and regulations. In the event of non-compliance, we will assist clients in the investigation process, making representations and attending hearings.

3. Mergers and acquisitions

Our experience in the fields of Mergers and Acquisitions is not confined to documentation of the transaction. Our firm is able to assist clients in structuring, negotiation, public disclosure and liaison with other professional team members such as financial advisors, accountants, overseas and mainland lawyers, valuers and other experts.

4. Corporate fund raising

We have participated in many fund raising exercises, at the stage when a company is seeking seed capital, pre-IPO fund raising or after the company has been listed. These exercises can take the form of direct investments, secured or unsecured loans, issue of convertible securities or options, top up placing and subscription of securities or rights issue.

5. Company restructuring

Typically many parties are involved in company restructuring, including bank and other creditors, controlling shareholders, potential white knights, the liquidators, the management, contractors and suppliers, landlords, regulatory authorities, financial advisors, accountants, the Court and the press. These parties have their own vested and often opposing interests. We often act as a coordinating role.

Our lawyers have participated in various types of company restructuring exercise, representing different parties and considered their interests from different angles. Clients can be guided through the restructuring process with relative ease.

6. General commercial transactions

Companies undertake many day to day commercial transactions such as contracts, joint ventures, investments, agency and distribution, franchising, employment and loan transactions.
